These Terms of Service ("Terms") govern your use of the website located at embre.dev (the "Site") and any services provided by Embre ("we," "us," or "our"), a service operated by Front Yard. By accessing the Site or using our services, you agree to be bound by these Terms.

1. Services

Embre provides website design, development, hosting, search engine optimization (SEO), content creation, and related digital marketing services for home service businesses. Our services are described on the Site and in individual service agreements.

2. Service Agreements

When you engage our services, you will select a service plan (Starter, Growth, or Premium) as described on our pricing page. Your service agreement begins when you approve your website preview and submit your first payment. Specific terms of your service, including deliverables and pricing, are outlined in your selected plan.

3. Payments and Billing

• Setup fees: A one-time setup fee is due before we begin building your website. The amount depends on your selected plan.
• Monthly fees: Monthly service fees are billed on the same date each month, beginning on your launch date.
• Payment methods: We accept major credit cards, ACH bank transfers, and other payment methods as specified during checkout.
• Late payments: Payments more than 15 days overdue may result in temporary suspension of services, including your website going offline. We will provide written notice before any suspension.
• Price changes: We may adjust pricing with 60 days written notice. You may cancel before new pricing takes effect.

4. 90-Day Satisfaction Guarantee

We offer a 90-day satisfaction guarantee on all plans. If we fail to deliver the services outlined in your plan during any month within the first 90 days, that month's fee will be waived. This guarantee applies to clearly defined deliverables (e.g., blog posts, edit turnaround times, reporting) and does not guarantee specific search engine rankings or business outcomes.

5. Cancellation

• You may cancel your monthly plan at any time after the initial 90-day period with 30 days written notice.
• Upon cancellation, we will provide you with all website files, content, and assets. Your domain name remains yours.
• Setup fees are non-refundable once work has begun on your website preview.
• If you cancel before the 48-hour preview is delivered, you owe nothing.

6. Intellectual Property

Your Content

You retain ownership of all content you provide to us, including text, photos, logos, and branding materials. By providing content, you grant us a license to use it solely for the purpose of delivering our services to you.

Our Work

Upon full payment, you own the website design, custom code, and content we create for you. This does not include our proprietary tools, templates, processes, or underlying systems, which remain our intellectual property.

Third-Party Assets

Some elements of your website may use licensed third-party assets (fonts, stock images, icons). We will ensure all third-party assets are properly licensed for your use. Applicable license terms will be shared with you upon request.

7. Your Responsibilities

You agree to:

• Provide accurate and truthful information about your business.
• Respond to requests for feedback or approval in a timely manner.
• Ensure that content you provide does not infringe on third-party rights.
• Maintain current and valid payment information.
• Comply with all applicable laws and regulations related to your business and its online presence.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by you in the 3 months preceding the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities.
• We do not guarantee specific search engine rankings, traffic levels, or business outcomes. SEO is influenced by many factors beyond our control.
• We are not liable for temporary service interruptions due to hosting provider outages, force majeure events, or scheduled maintenance (of which we will provide reasonable notice).

9. Indemnification

You agree to indemnify and hold harmless Embre, Front Yard, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of these Terms or your use of our services.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

• Informal resolution: We will first attempt to resolve disputes through good-faith negotiation.
• Mediation: If negotiation fails, disputes will be submitted to mediation in Los Angeles County, California.
• Governing law: These Terms are governed by the laws of the State of California.

11. Use of the Site

When using our Site, you agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to any part of the Site or its systems.
• Interfere with the proper functioning of the Site.
• Scrape, crawl, or use automated means to access the Site without our written permission.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before taking effect. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreement, constitute the entire agreement between you and Embre regarding your use of the Site and our services.
